ARTICLE 1. WHO IS THE SELLER?

MATTA, a French company with a capital of 208,800 euros, registered under number 325 527 778 at the R.C.S. Paris, whose registered office is located at14 rue de Tilsitt 75008 Paris. 

 ARTICLE 2. WHAT IS THE FRAMEWORK?

The purpose of these general terms and conditions (hereinafter the"Contract") is to define the terms of sale between MATTA and the“Client”, defined as the one who purchase at least one product (hereinafter the"Product") on ANNESEMONIN.COM (hereinafter the "Website").

The Contract governs the conditions for the conclusion, payment, and delivery of Orders and, where applicable, the guarantees and the withdrawal of Orders, under the conditions provided for in the Contract and by the law applicable to the Contract.

If any provision of this Contract is held by a competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law, and the remaining provisions of this Contract will remain in full force and effect. 

No failure to exercise or waive any provision of this Contract shall be deemed a further or continuing waiver of that provision or any other provision of this Contract.

Orders that may be placed on the Website can only be validly concluded between MATTA and a Client residing in metropolitan France, Corsica, Principality ofMonaco, DROMs and COMs included and abroad, at the exclusion of the following countries: Russia, Belarus, Kazakhstan, Armenia, Kyrgyzstan, Bulgaria,Slovakia, Ukraine, Romania, Moldova, United Arab Emirates or China.For the following countries, the Client can order directly on the website of MATTA's distributors, namely:
- Russia, Belarus, Kazakhstan, Armenia, Kyrgyzstan: Annesemonin.ru
- Bulgaria: Annesemonin.bg
- Serbia: Annesemonin.rs
- Romania & Moldova: Biotifulbrands
- Ukraine: Aromatic
- Thailand: Eurasia Cosmetics

These General Terms and Conditions of Sale and any dispute arising from them are governed by French law.In the event of a dispute, the Client is invited to contact the company's customer service as a priority by e-mail (hello@annesemonin.com) or via the contact page to try to resolve the dispute. He also has the possibility to contact CNPM consumer mediation, as mediator who is accessible on the following website : https://www.cnpm-mediation-consommation.eu/. 

He may also refer the matter to the territorially competent courts.MATTA's personal data protection policy remains in force during the processing of the personal data within the framework of the contract. It is available here. 

ARTICLE 3. WHAT PRODUCTS ARE MARKETED?

The essential characteristics of the Products are described on the pages of the Website.

Products comply with current requirements for the safety and health of persons, fair commercial transactions and consumer protection at the time of their placing on the market. 

ARTICLE 4. HOW TO ORDER ON THE WEBSITE?

To place an Order, the Client, after filling his virtual basket indicating the selected Products and the desired quantities, then clicks on the "Order" button and provides information on delivery and payment method.

Before clicking on the "Confirm order" button, the Client can check the details of his Order and its total price and return to the previous pages to correct any errors or possibly modify his Order.The Products and prices of MATTA products are valid for the placing of anOrder by the Client as long as they are visible on the Website when placing anOrder by the Client.

Any Order placed on the Site requires the consultation and explicit and prior acceptance of the Contract by the Client, who may save or print theContract applicable to his Order. When the Client wishes to finalise his Order, he can print a summary statement of his Order. 

ARTICLE 5. HOW TO GET AN ORDER CONFIRMATION?

After receipt by MATTA of the Order placed by the Client, MATTA will provide the Client with a detailed acknowledgment of receipt of the Client'sOrder, specifying the amount invoiced (all taxes included, amount of applicableVAT and amount and terms of delivery of the Order).

This acknowledgment of receipt constitutes acceptance by MATTA of the Order placed by the Client.Any modification of Order by the Client after confirmation of his Order is subject to acceptance by MATTA. 

ARTICLE 6. ON WHAT GROUNDS CAN MATTA SUSPEND THE DELIVERY?

Article L. 221-15 of the Consumer Code provides that "The professional is automatically liable to the consumer for the proper performance of the obligations resulting from the distance contract, whether these obligations are performed by the professional who concluded this contract or by other service providers, without prejudice to his right of recourse against them. However, he may be exempted from all or part of his liability by providing proof that thenon-performance or improper performance of the contract is attributable either to the consumer, or to the unforeseeable and insurmountable fact of a third party to the contract, or to a case of force majeure. »

In this regard, MATTA reserves the right to suspend any delivery for the following reasons:

- Credible suspicions of fraud;
In the event of credible suspicions of fraudulent transactions, MATTA reserves the right to suspend its delivery obligation, as long as necessary to obtain from the Client information relating to the disputed transaction.In the event of fraudulent use of his credit card by a third party, the Client is invited to contact MATTA without delay by writing or calling CustomerService and reminding MATTA of the credit card number concerned, the date of the Order and by justifying his identity, without this information giving rise to a right to compensation from the Client or any refund from the Client byMATTA.

- Breach of contract
In the event of a breach by the Client of any of its commitments under theContract, MATTA reserves the right to suspend the performance of its commitments.

- The performance of MATTA's obligations is subject to a case of force majeure.
If this suspension lasts beyond one month, the cancellation of the sale will be notified to the Client. In this case, the invoicing will be modified, and a refund will be made if necessary. 

ARTICLE 7. ON WHAT GROUNDS CAN MATTA REFUSE AN ORDER?

Article L. 221-11 of the Consumer Code provides that "It is prohibited to refuse to a consumer the sale of a product or the provision of a service, except for legitimate reasons".

MATTA reserves the right to refuse an Order for the following reasons:

- Over-ordering
In this regard, MATTA reserves the right to refuse or cancel for legitimate reasons any Order whose number of products or the amount to be paid (for one or more cumulative orders) are abnormally high compared to the usual average use of a household, any Order that would suggest that an economic activity is  carried out by the buyer in connection with the products ordered or more generally, any abnormal Order within the meaning of the applicable case law. All Orders shall be for personal use only, excluding any commercial purpose. These restrictions may include Orders placed by or under the same account, the same credit card and/or Orders that use the same billing and/ors hipping address.

- Repeated breaches of contract
In the event of repeated breaches by the Client of any of its commitments underthe Contract, MATTA reserves the right to refuse a new Order.

- Regulatory prohibition on exports
MATTA reserves the right not to deliver to a Client located in a country prohibited by applicable export laws. 

ARTICLE 8. HOW DOES MATTA INVOICE? 

For all Products shipped within the European Union, the price invoiced by MATTA will be automatically calculated all taxes included.

For all products shipped outside the European Union and in the French overseas departments and territories (DROM-COM), the price invoiced by MATTA will be automatically calculated excluding taxes.Transportation costs will be indicated.

Customs duties and/or other local taxes or import duties or state taxes maybe requested by local government agencies. These fees and costs are the responsibility of the Client and are his responsibility, both in terms of declaration and payment to the competent authorities and / or bodies of the country in question. 

For the UK only, taxes and customs duties are covered byMATTA, the Client will not pay any additional costs on delivery. 

ARTICLE 9. HOW IS THE PAYMENT MADE?

The currency of payment for Orders is Euro (€). The Client can pay for hisOrder by:

- Credit card (Carte Bleue, Visa and Mastercard, American Express),indicating a valid credit card number and expiry date, as well as the numbers on the back of his credit card;

- A payment service provider (PayPal, STRIPE, APPLE PAY, AMAZON PAY);

- Promotional code or offer. MATTA may refuse to consider any promotional code or offer obtained improperly and/or that has not been used by the intendedrecipient of the promotional code or offer. 

ARTICLE 10. HOW IS THE DELIVERY MADE?

MATTA will process the Order as soon as possible from Monday to Friday.

MATTA undertakes to ship Orders within 24 hours of the validation of the order. The delivery time differs depending on the carrier, the region, the country of delivery and their customs specificities. In optimal delivery conditions, delivery times after release are:

- 48 hours worked for the France;

- 72 working hours for the United Kingdom, the United States, Switzerland and Europe;

- 2 to 6 working days for countries outside Europe.

In any case and within a maximum period of 30 days after the date of theOrder Confirmation, except in exceptional circumstances, any Order will be delivered to the delivery address indicated when placing the Order. Products included in the same Order cannot be delivered to different addresses. 

ARTICLE 11. WHAT LEGAL GUARANTEES IS MATTA BOUND TO?

a. The guarantee against hidden defects

Article 1641 of the Civil Code provides that "The seller is bound by the guarantee for hidden defects of the thing sold which make it unfit for the use for which it is intended, or which so diminish this use that the buyer would not have acquired it, or would have given a lower price, if he had known them.

 "Article 1648 paragraph 1 of the Civil Code provides that "The action resulting from latent defects must be brought by the purchaser within two years from the discovery of the defect. 

"The Client may, when he decides to implement the guarantee against hidden defects of the thing sold within the meaning of Article 1641 of the Civil Code, choose between the cancellation of the sale or a reduction in the sale price in accordance with Article 1644 of the Civil Code.

b. The legal guarantee of conformity

Article L. 217-3 of the Consumer Code provides that "The seller shall deliver goods in conformity with the contract and the criteria set out in Article L. 217-5. He is liable for any lack of conformity existing at the time of delivery of the goods within the meaning of Article L. 216-1, which appear within two years of that delivery. »

c. The right of withdrawal

Article L. 221-18 of the Consumer Code provides that "The consumer hasa period of fourteen days to exercise his right of withdrawal from a contractconcluded at a distance, following a telephone or off-premises canvassing,without having to justify his decision or bear costs other than those providedfor in Articles L. 221-23 to L. 221-25.

The period referred to in the first paragraph shall run from the day:

1° The conclusion of the contract, for contracts for the provision of services and those mentioned in Article L. 221-4;

2° The receipt of the goods by the consumer or a third party, other than the carrier, designated by him, for contracts for the sale of goods. For off-premises contracts, the consumer can exercise his right of withdrawal from the conclusion of the contract... »

Article L. 221-28 of the Consumer Code provides that "the right of withdrawal cannot be exercised for contracts (...) 5° Supply of goods which have been unsealed by the consumer after delivery and which cannot be returned for reasons of hygiene or health protection... » 

In this regard, the Client has a right of return of fourteen days from receipt of his Order to return any Product that does not suit him and request the exchange or refund.

d. Implementation of these safeguards

The Client who wishes to benefit from one of these legal guarantees, within the aforementioned deadlines, shall assert his claim from the Website in the "Contact US". A withdrawal form is available here

MATTA will immediately send an acknowledgement of receipt of the request.After examining this request, for a maximum period of one month, MATTA will propose to the Client, according to his situation and the subject of his complaint:

- A reduction of price
In this case, MATTA will partially reimburse the Client. Either by recrediting its bank account or by recrediting its Payment Service Provider account.

- A full refund
In this case, MATTA will refund all payments received. Either by recrediting its bank account or by recrediting its Payment Service Provider account.

- A total refund, subject to the return of the product concerned.
In this case, returns must be made in their original condition and complete so that they can be remarketed as new. Any product opened or damaged by the Client will not be taken back.
The transport costs incurred for this return will be reimbursed when the Client has previously contacted customer service and follow the applicable procedure under which the shipment of the product concerned shall be made under standard delivery conditions.
MATTA will refund all payments received. Either by recrediting its bank account or by recrediting its Payment Service Provider account. MATTA may defer the refund until receipt and verification of the products.

- A commercial gesture
Whatever the subject of the complaint, MATTA reserves the right, on a commercial basis, to provide the Client with a credit note under its after-sales service 

ARTICLE 12. WHAT ARE THE LIMITS TO MATTA'S LIABILITY?

MATTA cannot be held liable for damage caused by misuse of Products or by failure to comply with precautions for use.

MATTA cannot be held liable if the non-performance of its obligations is attributable to a case of force majeure.In any event, the following heads of damage are excluded from MATTA's liability: any indirect or consequential damage suffered by a Client in connection with a Product sold by MATTA, such as loss of business or loss of sales, profits, income or anticipated savings. 

ARTICLE 13. HOW IS THE PROOF OF THE CONTRACT KEPT? 

The online provision of the credit card number and the final validation of the Order constitute proof of the entirety of the Order and entail the payment to the Client of the total amount of the Order.

The archiving of Orders and invoices is carried out by MATTA on a reliable and durable medium constituting a complete and durable copy, in accordance withArticle 1348 of the Civil Code.
